As we expand our Independent Power Producer (IPP) model, we are looking for a Senior Counsel, Project Finance & Commercial to play a pivotal role in the financing of our battery storage, renewable energy, and data center infrastructure projects. This is a high-impact, remote-friendly position designed for a legal professional who thrives in a fast-paced environment and possesses the commercial acumen to drive transactions from term sheet to financial close.

As a critical member of our legal team, you will serve as a pragmatic problem-solver and strategic advisor. You will be responsible for managing multiple live transactions simultaneously, engaging directly with lenders and tax equity investors, and ensuring our projects remain on track for successful execution. This role offers the unique opportunity to shape the next generation of critical energy infrastructure while working at the intersection of innovative technology and complex global finance.

Key Responsibilities
  • Lead the end-to-end legal structuring and negotiation of complex project finance transactions, including construction loans, term debt, tax equity, and back-leverage facilities.
  • Draft and negotiate sophisticated credit agreements, security packages, depositary arrangements, and consent agreements with institutional counterparties and lenders.
  • Provide expert legal counsel on build-own-operate (BOO) asset structures, specifically regarding collateral, security interests, and intercreditor arrangements.
  • Advise the business on Inflation Reduction Act (IRA) incentive structures, including ITC and PTC qualifications, domestic content requirements, and FEOC compliance.
  • Manage comprehensive lender due diligence processes and coordinate effectively with external lenders' counsel to achieve financial close.
  • Support corporate-level finance activities, including revolving credit lines, debt facilities, and entity capitalization for project-level subsidiaries.
  • Review and advise on the bankability of EPC contracts, equipment procurement agreements, PPAs, and interconnection agreements.
  • Monitor and manage ongoing lender compliance, waivers, and amendments for existing project portfolios.
Qualifications
  • Juris Doctor (J.D.) from an accredited law school and an active member of a state bar in good standing.
  • 8 to 15 years of project finance experience, with a significant focus on energy, infrastructure, or battery storage projects.
  • Proven track record of closing complex project finance deals, including deep experience with tax equity structures (ITC/PTC).
  • Strong working knowledge of IRA tax credit eligibility, including domestic content and energy community requirements.
  • Exceptional drafting and negotiation skills with the ability to translate legal risks into commercial outcomes.
  • Experience in a high-volume environment, managing multiple active deals and competing priorities with composure.
  • Willingness to travel up to 10% for domestic or international business needs.
  • A background in corporate finance or capital markets is considered a significant advantage.
